1. Product Specifications & Quality Conformity
All incense sticks, bamboo-free dhoop, cones, Bakhoor, and roll-on attars are manufactured under ISO 9001:2015 certified protocols and compounded in strict compliance with the International Fragrance Association (IFRA) 50th Amendment safety limits. Because our products utilize high percentages of natural botanical herbs, gums, and essential oils, minor harvest-to-harvest aromatic nuances may occur within defined olfactory tolerances.
2. Commercial Quotations & Incoterms® 2020
Unless explicitly specified otherwise in writing, all commercial quotations are issued on FOB Nhava Sheva / Chennai Seaport (India) or CIF Destination Seaport basis pursuant to ICC Incoterms® 2020. Proforma Invoices remain valid for thirty (30) calendar days from issuance.
3. Payment Structured Terms
Commercial export transactions are executed via:
• Telegraphic Transfer (T/T): 30% advance deposit upon order confirmation and signing of sales contract, with the remaining 70% balance payable upon presentation of negotiable shipping document copies (Scanned Bill of Lading, Packing List, Certificate of Origin).
• Letter of Credit (L/C): Irrevocable, confirmed Letter of Credit payable 100% at sight from a first-class international banking institution.
4. Ocean Transit, Packaging & Risk Transfer
All cargo is packed in moisture-resistant barrier film and heavy-duty 5-ply export master cartons (200+ PSI) suitable for tropical maritime container carriage. For FOB shipments, risk of loss passes to the buyer upon cargo crossing the ship’s rail at the Indian load port. For CIF shipments, comprehensive marine cargo insurance (Institute Cargo Clauses A - All Risks) is procured on behalf of the buyer.
5. Export Documentation & Destination Conformity
RetroFragra furnishes a standard export document suite (Commercial Invoice, Packing List, Original Bill of Lading, Certificate of Origin, Phytosanitary Certificate, MSDS, and COA). The importer remains responsible for local import licenses, customs clearance, duty payments, and destination-country regulatory registrations (such as SONCAP in Nigeria, FDA in Ghana, or COFEPRIS in Mexico).
6. Private Label OEM & Intellectual Property
All trademarks, logos, brand assets, proprietary aromatic compounding formulas, and packaging dielines owned by RetroFragra Pvt. Ltd. remain the exclusive intellectual property of the company. In private-label OEM arrangements, the buyer warrants that supplied brand names and artworks do not infringe third-party trademark rights.
7. Governing Law & Arbitration
These terms and any resulting commercial export agreements shall be governed by and construed in accordance with the substantive laws of India. Any unresolved dispute arising out of or in connection with this contract shall be submitted to binding arbitration under the rules of the Indian Council of Arbitration (ICA), Bangalore Jurisdiction.
